Nick Torres serves as Of Counsel at Passalacqua & Associates, LLC, where he focuses his practice on business law, corporate transactions, and complex commercial matters. He represents entrepreneurs, emerging companies, and established businesses in domestic and international transactions, providing strategic guidance on financings, venture capital negotiations, mergers and acquisitions, and general corporate governance matters. His practice is notable for its emphasis on China-related business transactions, underpinned by his experience abroad and proficiency in Mandarin Chinese.

Nick’s educational foundation strengthens his multifaceted practice. He earned his Juris Doctor from Emory University School of Law, where he served as Editor-in-Chief of the Corporate Governance and Accountability Review. He also holds a Bachelor of Science in Political Science from SUNY Buffalo University and has completed advanced Mandarin studies at universities in Shanghai and Beijing.

Throughout his career, Nick has handled high-value transactional matters, including assisting companies in completing initial public offerings on the Nasdaq Capital Market. His work with clients such as Jayud Global Logistics Limited and CytoMed Therapeutics Limited demonstrates his ability to navigate the regulatory, financial, and strategic complexities associated with public offerings.

Nick also advises companies on partnership structures, investment terms, and commercial negotiations, while maintaining experience in dispute resolution and commercial litigation.

Before joining the firm, Nick worked as a foreign legal consultant with a leading Beijing law firm and later practiced with a corporate firm in New York City. His international and domestic experience allows him to address sophisticated business challenges with precision and insight.
