Kathleen Werner

Kathleen Werner is a Partner in the Capital Markets practice at Clifford Chance in New York. She advises companies and investment banks on capital markets transactions and mergers and acquisitions. Her work spans public and private offerings and complex corporate matters across several industries globally today.

Kathleen earned a BA from St. Joseph’s University in 1988 and a JD from Georgetown University Law Center in 1991. The same year, she joined Clifford Chance and began building her practice in corporate and securities law while advising clients on transactions and governance matters early in her career.

Kathleen primarily represents companies and investment banking firms in public and private securities offerings. She also advises clients on mergers and acquisitions and related corporate matters. Her clients include public and private companies in financial services, real estate, healthcare, media, and other industries, operating across many markets worldwide.

Kathleen frequently represents investment banking firms acting as underwriters and initial purchasers in securities offerings. She guides clients through public and private capital markets transactions and supports them from structuring to closing. Her practical approach helps companies complete complex deals with clarity and confidence across fast-moving markets.

Kathleen has advised on notable transactions involving major companies and real estate investment trusts. Her recent work includes advising Hearst on a strategic NFL-ESPN transaction and representing companies in significant mergers and acquisitions involving real estate and investment management businesses across the United States and global capital markets.
