Kate Henry

Kate Henry is an associate in the Corporate and Transactions Department at Nutter’s Boston office. She counsels clients across diverse industries on business formation, corporate governance, mergers and acquisitions, venture capital, and capital markets transactions. Her practice spans both early-stage company support and mature business transactions.

Kate earned her J.D. from Boston University School of Law, where she was the managing editor of the American Journal of Law and Medicine. She also holds a B.A. from Denison University. She is admitted to practice in Massachusetts and has been recognized as a “Rising Star” by Massachusetts Super Lawyers and included in The Best Lawyers in America: Ones to Watch.

Kate advises private and public companies, financial institutions, and emerging businesses on strategic deals, including equity and debt financings, public offerings, and recapitalizations. Her transactional highlights include representing Eastern Bank Corporation in its public stock conversion and advising Centreville Bank on a $115.5 million acquisition.

Kate’s dealmaking also includes representing clients in cross-border acquisitions, recapitalizations, and strategic investments. Notably, she has worked with companies such as Connected Home Care, Cali’flour Foods, and Big Belly Solar, helping to structure growth investments and successful exits with national and international firms.

Kate plays a key role in helping businesses navigate their lifecycle, from early-stage capital raises through exits or mergers. She combines regulatory insight with practical transaction structuring, particularly in the banking, health care, home services, and technology sectors.
