Cleburne E. Gregory III

Cleburne E. Gregory III is a Partner and the longtime head of the Tax practice. He focuses on the tax aspects of mergers and acquisitions, advising both buyers and sellers in complex transactions. His work covers domestic corporate, partnership, and corporation taxation, as well as specialized entities such as real estate investment trusts (REITs).

Cleburne earned his Bachelor of Science from Washington and Lee University before receiving his Juris Doctor from the University of Georgia School of Law, where he served as Notes Editor for the Georgia Law Review. He later obtained a Master of Laws – Taxation from Emory University School of Law and served as a Law Clerk to the Honorable Charles Clark, United States Circuit Judge, Fifth Circuit Court of Appeals.

Cleburne advises clients on nonqualified executive compensation and other executive compensation matters for public and private companies. He also works extensively with foreign investors in the United States, particularly in U.S. real estate transactions. His practice includes guidance on outbound investments and cross-border acquisitions involving complex tax structures.

Cleburne has advised on the tax aspects of hundreds of M&A transactions across a wide range of industries. He represented a large Dutch investment fund in acquisitions and dispositions of regional malls, office properties, and development projects, while maintaining the overall transaction structure and addressing detailed tax considerations.

Cleburne E. Gregory III has been recognized in Best Lawyers in America® for Tax Law and was named “Lawyer of the Year” in 2011. He has also been ranked by Chambers USA, named to Georgia Super Lawyers, and recognized by GaBiz Magazine as a Top Lawyer in Atlanta for Tax Law.
