Thomas A. Beck has nearly four decades of experience representing Delaware corporations, directors, shareholders, and large stakeholders in complex corporate litigation. His work spans disputes in the Delaware Court of Chancery and the Delaware Supreme Court. He has handled corporate control battles, shareholder class actions, and fiduciary duty cases with a consistent record of success.
Thomas earned his B.A. from Dickinson College in 1978 and received his J.D. from Cornell Law School in 1981. He was admitted to the Delaware Bar the same year and is also admitted to practice before the United States Court of Appeals for the Third Circuit and the United States Supreme Court.
Thomas has argued on both sides of pivotal issues, representing bidders and targets in hostile takeovers, petitioners and respondents in appraisal actions, and both plaintiffs and defendants in fiduciary and statutory cases. He has played roles in many of Delaware’s landmark decisions, including Unocal, QVC, Caremark, Lyondell, and Muoio v. Hallmark.
Thomas regularly advises corporate boards and officers on fiduciary obligations, governance strategies, and valuation matters. His guidance helps companies address control issues and navigate complex regulatory responsibilities. He has also served as a court-appointed special master in advancement litigation.
Thomas has handled cases involving high-profile clients and contentious matters. He represented a Fortune 100 tech company in acquisition-related litigation and led a trial team in a shareholder class action argued before the Delaware Supreme Court. Other matters include representing Broadcom Corporation, Nokia Corporation, and John Q. Hammons in merger fairness disputes and joint venture arbitrations.
