Rosina Barker

Rosina B. Barker is a partner who advises clients on the ERISA, tax, and securities law aspects of employee benefits and executive compensation plans. Her practice covers a wide range of matters, from complex defined benefit pension plans to sophisticated executive compensation structures.

Rosina earned her Juris Doctor, magna cum laude, from Georgetown University Law Center in 1990 and was a member of the Order of the Coif. She also holds a Master of Public Policy from Harvard University’s John F. Kennedy School of Government and a Bachelor of Arts, cum laude, from Harvard University.

Rosina is widely recognized for her work on Internal Revenue Code Section 409A compliance. She regularly drafts and amends equity, deferred compensation, and incentive pay plans and advises organizations on tax, fiduciary, and governance considerations related to compensation programs.

Rosina frequently advises clients on executive compensation and benefits issues connected to mergers, divestitures, and business reorganizations. In recent years, she has provided counsel on corporate transactions totaling more than $13 billion.

Rosina also works extensively with large and innovative defined benefit pension plans. She has advised on derisking transactions ranging from several hundred million dollars to more than $50 billion, including annuity purchases, lump-sum offers, and pension plan terminations.

Rosina Barker has received numerous professional recognitions, including a Band 1 ranking by Chambers USA for Employee Benefits and Executive Compensation. She has also been listed in The Best Lawyers in America for Employee Benefits (ERISA) Law for many years and serves as a Fellow of the American College of Employee Benefits Counsel.
