Nick Taylor

Nick Taylor is a partner at Dorsey & Whitney LLP in Boise who advises companies, investment funds, entrepreneurs, and investors on mergers and acquisitions, capital raising, financing transactions, fund formation, securities regulation, and corporate governance. He also works with start-ups and emerging growth companies and serves as outside general counsel to executives, directors, managers, and owners on financial, governance, securities, and strategic planning issues.

Nick earned his J.D. from the University of Oregon School of Law in 2006 and was elected to the Order of the Coif. He received a B.A. in International Relations, magna cum laude, from Western Oregon University in 2003. His education supports a transactional practice that requires close analysis of corporate structures, securities requirements, financing terms, governance responsibilities, and the business objectives behind each transaction.

Taylor has handled equity, debt, and convertible-debt financings, private placements, mergers, stock and asset transactions, and investment fund matters. Representative work includes financings and acquisitions involving healthcare, technology, manufacturing, renewable energy, restaurants, real estate investment funds, and private equity. He also drafts and negotiates contracts, addresses employment and independent-contractor issues, structures equity incentive arrangements, and helps companies establish securities compliance programs.

He is active in Boise business and civic organizations and remains involved with the Idaho State Bar and American Bar Association.
