Michele M. Anderson is a Partner in Washington, D.C. who focuses on complex matters arising under US securities laws. She advises clients and legal teams on regulatory compliance, disclosure obligations, and corporate governance issues affecting public companies. Her work spans domestic and cross-border transactions, with particular depth in mergers and acquisitions and capital markets matters.
Michele earned her BA, magna cum laude, in 1993 from the University of Colorado. She later received her JD in 1997 from the University of Colorado Law School. Her academic training provided a strong foundation in corporate law, regulatory analysis, and statutory interpretation, which have remained central to her practice.
Michele served for 24 years in the US Securities and Exchange Commission’s Division of Corporation Finance. During her tenure, she held several senior leadership roles, including Associate Director and Acting Deputy Director.
For nearly 15 years, Michele led and later oversaw the Office of Mergers and Acquisitions. In that role, she managed the SEC’s regulation of tender offers, mergers, going private transactions, debt restructurings, beneficial ownership reporting, and contested proxy solicitations. She also supervised rulemaking initiatives and interpretive guidance involving federal proxy rules and disclosure requirements for foreign issuers and asset-backed securities.
Michele M. Anderson regularly counsels on shareholder activism, corporate governance strategy, and public company reporting obligations. She is admitted in the District of Columbia and frequently speaks on developments in federal securities law. She has also served as an adjunct professor at Georgetown University Law Center, where she taught Takeovers, Mergers, and Acquisitions.
