About
Michael R. Maryn is a Partner in Dentons’ Pension, Benefits, and Executive Compensation practice. He advises clients on all aspects of employee benefits and executive compensation. His work covers plan design, compliance, fiduciary guidance, and complex transactions for employers, executives, financial institutions, and tax-exempt organizations.
Michael earned his JD from the Columbus School of Law at The Catholic University of America in 1989. He received his BS in Economics from the University of Maryland in 1983, magna cum laude, with high honors. He is admitted to practice in the District of Columbia.
Michael counsels clients on the design and administration of qualified retirement plans, including 401(k), profit-sharing, ESOPs, and defined benefit plans. He negotiates administrative services agreements and investment advisory and management agreements. He also advises plan fiduciaries on their responsibilities under ERISA.
In executive compensation, Michael represents employers and executives in negotiating employment, change-of-control, severance, and retention agreements. He designs nonqualified deferred compensation plans and equity incentive arrangements, including stock options, restricted stock, stock appreciation rights, phantom stock, deferred stock, and performance awards.
Michael advises partnerships and limited liability companies on equity and cash incentive arrangements, including profits interests and tiered partnership structures. He represents tax-exempt organizations on executive compensation matters, including 403(b) annuity plans and 457 plans, and counsels boards on governance and compliance issues.
Michael R. Maryn has substantial experience with ERISA matters involving investment fund formation and operation, real estate operating companies, venture capital operating companies, private equity funds, and asset-backed securities pools. He is recognized by Chambers USA and The Legal 500 for his work in employee benefits and executive compensation.
