Tony Sayess

Tony Sayess is the Director and Chair, Corporate Departmen of Orr & Reno P.A.tadvises businesses and owners on federal income tax planning, business law, reorganizations, and corporate matters. He counsels clients on tax-efficient structures, including F reorganizations and transactions involving Qualified Small Business Stock. He also advises on sales of stock, assets, and LLC interests, transfers of shares to family members, IRS controversies, New Hampshire tax issues, and cross-border planning involving foreign subsidiaries, consolidated groups, and international business operations for clients.

Tony earned an LL.M. in Tax Law from New York University School of Law and a J.D. from the University of Virginia School of Law. He earned an M.A. in International Affairs from George Washington University and a B.S. in Business Administration and History from the University of New Hampshire. He is admitted in New Hampshire, New York, and the US Tax Court, with inactive admissions in Washington and Oregon.

Tony represents clients in business formations, corporate conversions, debt financings, buy-sell agreements, succession planning, minority-interest buyouts, contract matters, and mergers and acquisitions. He drafts, reviews, and negotiates agreements while advising on corporate governance and transactional structure. He also analyzes tax treaties involving Switzerland, Sweden, Ireland, the Netherlands, France, and Turkey, including cross-border taxation of dividends, interest, royalties, limitation-of-benefits issues, and the effects of Brexit on treaty benefits for business clients.

Tony Sayess brings business and tax experience to clients facing ownership, financing, transactional, and international planning issues. He has represented search funds, US subsidiaries of foreign companies, and members of consolidated groups, helping them assess legal and tax consequences before decisions. He contributes to the profession through leadership roles with New Hampshire Bar Association business and tax sections and has been recognized by The Best Lawyers in America since 2024.
