Thomas (Jeff) Jefferson IV

Thomas (Jeff) Jefferson IV is a partner at Troutman Pepper Locke and serves as managing partner of the firm’s Providence office. He handles complex mergers and acquisitions and investment transactions for private equity funds, public and private companies, and family offices, including matters with international dimensions. His experience spans technology, media, telecommunications, and life sciences, and his practice focuses on structuring and completing transactions in competitive and rapidly changing business environments.

Jefferson earned a J.D. from William & Mary Law School and a B.S. from Tufts University, with additional study at the University of Seville. In law school, he was a member of the William & Mary Law Review, served as articles editor of the William & Mary Bill of Rights Journal, and worked as a teaching assistant in legal writing and skills. He later clerked for Judge Richard L. Nygaard on the United States Court of Appeals for the Third Circuit.

Jefferson has advised clients on acquisitions, equity investments, sales, recapitalizations, and other strategic transactions. Representative matters include work for Trent Capital Partners affiliates, Imugene Ltd., Greenbacker Capital Management, Arcline Investment Management, HPS Partners, investor groups, and private company owners. His matters have included cross-border transactions, private equity investments, technology and life sciences deals, and significant company sales requiring coordination of transaction structure, financing, diligence, and closing strategy.

Thomas (Jeff) Jefferson IV is admitted in Rhode Island and serves as a key contact partner with the World Law Group, where he is a member of the Board of Directors. He also belongs to Lex Mundi and the International Bar Association. He has been recognized in The Best Lawyers in America for Corporate Law from 2023 through 2027 and remains active in international relationship-building, speaking engagements, and private equity and M&A work.
