Thad J. Bracegirdle

Thad J. Bracegirdle is a director and Delaware corporate lawyer with more than 25 years of trial and appellate experience. His practice focuses on representing and advising corporations, directors, and stockholders in litigation and transactions involving fiduciary duties, mergers and acquisitions, corporate governance, and other matters arising under Delaware corporate law. He also handles disputes and transactions involving limited partnerships, limited liability companies, and other Delaware business entities.

Thad earned a B.A., magna cum laude, from the University of Pennsylvania before receiving a J.D. from the University of Pennsylvania School of Law. His education prepared him to examine complex legal and business questions, interpret corporate statutes, and develop practical strategies for clients. This foundation supports his work on high-stakes disputes, business transactions, and legal opinions concerning corporations, limited partnerships, and limited liability companies.

Thad has represented clients before Delaware state and federal courts, including the Supreme Court of Delaware, the Delaware Court of Chancery, and the Complex Commercial Litigation Division of the Delaware Superior Court. His experience includes stockholder class actions and derivative suits, board and stockholder disputes, indemnification claims, requests for corporate books and records, and applications for injunctive relief. He has also secured favorable rulings in matters involving corporate control, stock redemptions, amended bylaws, and fiduciary duty claims.

He has written and co-written articles on Delaware corporate law and serves on the Delaware Editorial Advisory Board for Law360. He also speaks on legal ethics and professional responsibility and participates in several professional organizations.
