Stacie S. Aarestad

Stacie S. Aarestad is a Boston corporate and securities lawyer with more than 20 years of experience advising public companies. She regularly serves as outside corporate counsel to businesses in the life sciences, technology, and cannabis industries. Her practice covers public and private offerings of equity and debt securities, mergers and acquisitions, debt finance, corporate governance, securities reporting, Section 16 compliance, insider trading rules, executive compensation, and environmental, social, and governance matters.

Stacie earned a B.A. from Colgate University in 1991, graduating magna cum laude and as a member of Phi Beta Kappa. She received her J.D. from Boston University School of Law in 1997, also graduating magna cum laude. During law school, she served as articles editor of the Boston University Law Review and received the Albert P. Pettoruto Memorial Award. She is admitted to practice in Massachusetts.

Stacie has advised issuers on complex financings and business combinations. Her representative work includes a $74.8 million public offering for Enanta Pharmaceuticals and an $86.9 million public offering for Butterfly Network. She also guided Zapata AI through its business combination with a special purpose acquisition company and advised Lantheus Holdings on a $575 million convertible senior notes offering. Her experience further includes private placements, mergers, secured loans, tender offers, and initial public offerings.

Stacie S. Aarestad was named among the “Top Women of Law” by Massachusetts Lawyers Weekly in 2014 and was selected for the Greater Boston Chamber of Commerce’s Executive Leadership Institute that year. She co-leads a women’s professional forum and belongs to the American, Massachusetts, and Boston bar associations. She also served on the board of the Massachusetts Biotechnology Education Foundation from 2012 through 2023. Her leadership reflects a commitment to professional development and the life sciences community.
