Scott earned a BA from Yale University and graduated cum laude. He later received a Juris Doctor from the University of Virginia School of Law, where he was a member of the Virginia Law Review and was elected to the Order of the Coif. He is admitted to practice in New York and before the US District Court for the Southern District of New York and the US District Court for the Eastern District of New York.
Scott has built a distinguished career representing clients in more than 250 public company mergers and acquisitions transactions and the litigation that frequently accompanies those deals. He has advised boards, special committees, and senior management teams of major public companies, including Aetna, AstraZeneca, Comcast, CVS Health, ExxonMobil, PepsiCo, Roche, TE Connectivity, Tyson Foods, and Warner Chilcott. His practice also includes representing leading financial sponsors such as Apollo Global Management, AEA Investors, CVC, Permira, and Third Point. In addition, he regularly counsels global investment banks, including JPMorgan, Centerview, Evercore, Greenhill, Lazard, and Morgan Stanley.
Scott is widely recognized for his knowledge of securities litigation, corporate governance, and merger-related disputes. Beyond client work, he frequently speaks at leading legal conferences and has lectured at Yale Law School and the University of Pennsylvania Law School. He is also a lead author of Takeover Defense: Mergers and Acquisitions and co-authors the mergers and acquisitions chapter in Business and Commercial Litigation in Federal Courts.
