Natalia N. Pearson-Farrer is a public finance and corporate attorney who joined Holley & Pearson-Farrer LLP in 2017 and became a partner in 2020. She focuses on post-issuance tax and securities law compliance, economic development, public-private partnerships, and tax-exempt leasing. She regularly serves as bond counsel, disclosure counsel, and counsel to borrowers, banks, and issuers in public financing transactions involving infrastructure, redevelopment, healthcare, education, housing, manufacturing, water systems, and other sectors.
Natalia earned her J.D. from Harvard Law School and her B.A., summa cum laude, from North Carolina Central University. She is admitted to practice in Georgia, Illinois, and New York. She also maintains professional affiliations with the National Association of Bond Lawyers, International Municipal Lawyers Association, Municipal Forum of New York, New York State Bar Association, and Women in Public Finance.
Natalia advises municipalities, developers, and investors on financing office, residential, retail, and mixed-use projects. She handles tax increment financing, special tax district financing, payment-in-lieu-of-tax bonds, and other capital structures. She also represents domestic and international companies seeking capital for construction, expansion, and relocation. She negotiates incentive packages involving tax abatements, grants, lease-purchase agreements, subsidies, and low-interest loans, and she advises clients on compliance with governmental performance requirements.
Natalia previously served as general counsel to a county economic development authority. She negotiated financial incentives, prepared property-tax reduction models, advised on governmental operations and economic development policy, and drafted contracts, bylaws, resolutions, and internal policies. She also served as local counsel to an investor-developer consortium pursuing a multibillion-dollar transportation contract and advised the group on procurement laws and public-private partnership legislation.
Natalia N. Pearson-Farrer combines public finance experience with detailed knowledge of corporate transactions, economic incentives, and regulatory compliance. She was named a 2024 Rising Star by The Bond Buyer and served as lead disclosure counsel on The Bond Buyer’s 2023 Deal of the Year.
