Melanie G. Rubocki is a partner at Ashurst Perkins Coie in Boise, Idaho. She advises businesses from startup formation through growth and exit, bringing a practical business perspective to corporate legal matters and negotiated transactions. Her practice includes equity and debt financings, mergers and acquisitions, succession planning, joint ventures, corporate governance, and fiduciary duty matters. Rubocki also represents investors and assists directors and officers with board management and strategic business decisions.
Rubocki earned her J.D. from Notre Dame Law School in 1997, where she served as executive editor of the Journal of College and University Law Review. She received a B.S. in Economics from the Wharton School and a B.A. in Psychology from the University of Pennsylvania in 1993. Her background in finance, economics, and entrepreneurial studies supports her ability to evaluate transactions, understand business objectives, and provide commercially practical legal guidance.
Rubocki has represented clients in a broad range of corporate finance and mergers and acquisitions matters. Her experience includes preferred stock, convertible note, public debt, and seed financings, as well as asset sales, stock purchases, mergers, leveraged buyouts, and strategic acquisitions. She has advised emerging companies, established operating businesses, investors, private equity interests, utilities, and technology companies on transactions involving business assets, intellectual property, mineral rights, equity interests, and corporate restructuring.
Melanie G. Rubocki received the Idaho State Bar’s Professionalism Award in 2022 and has been ranked by Chambers USA for corporate and commercial law from 2007 through 2026. She was also recognized in The Legal 500 M&A Powerlist in 2024. A Fellow of the American Bar Foundation, she has held leadership roles with Trailhead, the Idaho Technology Council, Idaho TechConnect, and the Idaho State Bar’s Business and Corporate Law Section.
