Lance J. Phillips

Lance J. Phillips is a partner in the Corporate Practice Group at Eversheds Sutherland (US) LLP, focusing on mergers and acquisitions and private capital transactions. He represents public and private companies in domestic and cross-border mergers, divestitures, partnerships, equity investments, and complex commercial agreements. He advises his clients on all aspects of these transactions, including the drafting and negotiation of transaction documents, overseeing due diligence investigations, advising on legal and business issues, and coordinating deal teams.

Lance earned his B.A., with honors, from Michigan State University. He later earned his J.D., cum laude, from the University of Michigan Law School, where he served as an Associate and Notes Editor of the Michigan Law Review. His legal education provided a strong foundation in corporate law, transactional strategy, and analytical reasoning, which continue to guide his approach to complex, high-value transactions across industries and jurisdictions.

Lance has extensive experience leading significant and sophisticated M&A transactions across a range of industries, including energy, industrials, life sciences, healthcare, and technology. He regularly manages multi-jurisdictional deals involving public companies, private equity sponsors, and closely held businesses. In addition to transactional work, he advises clients on corporate governance matters such as corporate structuring, entity formation, compliance obligations, and fiduciary duties, helping organizations operate efficiently and responsibly.

Prior to joining Eversheds Sutherland (US) LLP, Lance J. Phillips practiced at a major global law firm where he represented public companies and private equity firms in domestic and international M&A transactions. He is admitted to practice in New York and Illinois. Through detailed preparation, strategic negotiation, and coordinated transaction management, Lance supports clients in achieving their business objectives while navigating complex regulatory and commercial environments.
