Kathleen H. Davis is Of Counsel at Downs Rachlin Martin PLLC in Burlington, Vermont. Her practice focuses on captive insurance, business law, and alternative risk arrangements. She advises captive insurers on formation, licensing, capitalization, governance, and ongoing operations. Many of her clients are tax-exempt organizations. Her work addresses the corporate, regulatory, tax, and contract questions that accompany the provision and purchase of insurance and reinsurance.

Davis earned a J.D. from Boston University School of Law and a B.A. from Middlebury College. She also attended Phillips Exeter Academy. Her legal education provides a foundation for analyzing insurance statutes, corporate requirements, and contractual obligations. In a practice involving both new insurers and established programs, this training supports the review of organizational documents and agreements that shape how insurance arrangements function over time.

Davis founded the firm’s captive insurance practice and has advised hundreds of captive insurance companies during more than three decades of work. She also handles the termination and transfer of insurance agreements, helping clients address the legal consequences of changes to their insurance structures.
