Jonathan S. Deem

Jonathan S. Deem is a partner and Corporate Practice Group Leader at Bailey & Glasser, LLP, working from the Charleston and Washington, D.C. offices. He handles business law, mergers and acquisitions, commercial real estate, private equity, corporate finance, entrepreneurial transactions, and energy and natural resources matters. His clients include businesses and organizations across the natural resources, technology, real estate, and financial services industries. He advises on transactions involving business growth, investment, financing, and complex commercial arrangements.

Jonathan earned his J.D. from the West Virginia University College of Law. His legal education provided a foundation for a practice involving corporate transactions, financing arrangements, business structures, and commercial matters. Before his current leadership role, he gained significant experience in government. He served as General Counsel to West Virginia Governor Joe Manchin and later became Manchin’s first Chief of Staff following his election to the US Senate.

Jonathan handles acquisitions and dispositions along with other significant corporate and financial transactions. His work extends to commercial real estate transactions, private equity investments, corporate finance, business formations, and energy projects. He has worked on transactions involving the development of renewable energy projects on former coal mining properties. He serves as outside general counsel to the West Virginia Investment Management Board, which oversees investments involving West Virginia pension funds and other long-term public funds.

Jonathan S. Deem has been recognized by Chambers USA for Corporate/Commercial work in West Virginia since 2019 and holds a Band 1 ranking in the 2026 guide. His background combines private corporate practice with senior government service and experience advising organizations on significant financial and commercial matters. He leads Bailey & Glasser, LLP’s corporate team while helping clients evaluate transactions, structure business arrangements, address legal risks, and pursue strategic objectives across several industries.
