Janet M. Lee is Senior Counsel in an executive compensation and employee benefits practice, advising clients on complex compensation and benefits matters. With more than 20 years of experience, she works with public and private companies on employment agreements, equity compensation, severance arrangements, and governance issues tied to compensation programs.
Janet earned her Juris Doctor from Harvard Law School. She also holds a Bachelor of Arts, magna cum laude, in Political Science and English from Amherst College. Her academic background provides a strong foundation for analyzing sophisticated compensation structures and regulatory requirements affecting employers and executives.
Janet also counsels clients on the design, implementation, and administration of incentive compensation programs. Her work includes advising on equity plans, change-in-control arrangements, and severance programs, as well as public company disclosure obligations and corporate governance considerations related to executive pay practices.
In addition, Janet advises on Employee Retirement Income Security Act matters, including plan asset issues and the structuring of products and services for ERISA plans and individual retirement accounts. Her experience supports clients in navigating regulatory complexity related to investment products and benefit plan compliance.
Janet’s career includes significant experience advising multinational companies across industries on compensation and benefits matters connected to large-scale domestic and cross-border transactions. She brings a practical understanding of how compensation issues intersect with broader strategic, financial, and regulatory considerations.
Before returning to private practice, Janet M. Lee served as in-house counsel for a global financial services organization on executive compensation, employee benefits, and ERISA matters. This perspective enables her to provide commercially focused advice, helping clients manage risk, meet compliance obligations, and implement effective compensation strategies in dynamic business environments.
