David S. Eagle

David S. Eagle is a partner at Klehr Harrison Harvey Branzburg LLP whose Wilmington practice centers on corporate and commercial litigation. For more than 30 years, he has handled disputes involving Delaware corporations, partnerships, and limited liability companies. His work includes books-and-records demands, trade secret and injunction matters, shareholder derivative claims, fiduciary duty and trust litigation, M&A disputes, and advancement and indemnification claims involving directors and officers.

David earned a J.D. from Columbia University School of Law and a B.A. from Amherst College, where he was a John Woodruff Simpson Fellow for the Study of Law. He also attended Rabbinical College of America. His education supports a practice requiring close analysis of corporate relationships, governance duties, contractual rights, and complex litigation issues that frequently arise under Delaware law and in federal business disputes.

David regularly practices in the Delaware Court of Chancery and Delaware Superior Court, including its Complex Commercial Litigation Division. He litigates in the United States District Court for the District of Delaware and has served as local counsel in patent and other complex federal cases. His appellate experience includes arguments before the Third Circuit and Delaware Supreme Court, and he has tried jury and non-jury matters involving significant commercial disputes.

David S. Eagle is certified as a mediator by the Delaware Superior Court and is available for pre-litigation and pending-case dispute resolution. His experience includes several widely cited Delaware advancement and indemnification cases, including Nakahara, Perconti, Reddy, Sun-Times Media Group, and Fasciana. He also contributed a chapter on organizing a Delaware corporation to the 2025 edition of a treatise addressing planning, financing, and operating startup and emerging companies.
