Dan Harmelink

Dan Harmelink is a shareholder at Woods Fuller in Sioux Falls who advises local, regional, and national companies on business transactions. Dan’s practice includes banking and finance, business and corporate transactions, construction law, energy and environment, mergers and acquisitions, contracts, project development, and real estate. He also serves as outside counsel to companies, working with boards and management on corporate governance and a wide range of operational legal matters.

Dan earned a B.A. from Dordt University and a J.D. from the University of Iowa College of Law, graduating with Highest Distinction and Order of the Coif. His academic background supports detailed work involving corporate structure, contracts, financing, transactions, and development projects. That legal training provides a strong foundation for advising businesses on both routine governance needs and major strategic transactions with significant financial and operational consequences.

Dan structures and organizes for-profit entities and advises owners on stock transfers, business succession planning, and other formation issues. His mergers and acquisitions work includes asset sales, stock transfers, statutory mergers, and tax-free reorganizations for transactions ranging from family-owned businesses to multi-million-dollar national concerns. He also drafts and negotiates products and services agreements, development contracts, debt instruments, and other commercial agreements for corporate clients.

Dan is a past chair of the firm’s Business Organizations and Transactions Practice Group and has served in community leadership roles.
