Andy Tataryn is counsel at Maslon LLP in the Corporate & Securities Group. He represents startups, public and private companies, and investors in corporate, securities, and transactional matters. His work includes private financings, public offerings, mergers and acquisitions, corporate governance, SEC reporting and compliance, stock-exchange listing requirements, equity compensation, commercial contracts, entity formation, and general corporate law. He brings experience from private practice and prior federal securities work.
Andy earned his J.D. from Hamline University School of Law, a B.A. from the University of St. Thomas, and an M.B.A. from the University of Minnesota. His legal and business education supports a practice that combines corporate structure, financing, securities regulation, and commercial planning. That background helps him evaluate transactions from legal, compliance, and business perspectives while advising management teams and investors.
Tataryn has advised clients in numerous private financings, public offerings, and M&A transactions during nearly two decades of private practice. Before returning to private practice, he served in the Division of Corporation Finance at the US Securities and Exchange Commission. His federal work involved public-company disclosure, capital raising, M&A, periodic reporting, and proxy statements, giving him direct experience with securities regulation and disclosure requirements.
Andy Tataryn helps clients address corporate transactions and securities obligations with a practical understanding of business operations and public-company regulation. He works closely with management on financing, governance, reporting, compensation arrangements, and commercial agreements. His combination of transactional practice and prior SEC experience supports clear advice on matters where corporate strategy, disclosure duties, investor interests, and regulatory requirements intersect.
