Thomas G. Buchanan

Thomas G. Buchanan is a shareholder at Buchanan Ingersoll & Rooney PC with offices in Pittsburgh and New York. He has more than 35 years of experience advising clients on corporate transactions, including mergers, acquisitions, dispositions, joint ventures, and venture capital financings. Tom also acts as outside general counsel for companies without in-house legal teams, helping management address governance, shareholder, financing, and strategic business matters.

Tom earned his J.D. with honors from Temple University Beasley School of Law in 1987, where he served as managing editor of the law review. He received his B.S. from the University of Vermont in 1983. His legal education and extensive transactional experience provide a strong foundation for evaluating business risks, negotiating complex agreements, and developing practical structures that support company growth and long-term objectives.

Tom represents local and national venture capital funds in structuring, negotiating, and documenting investments. He also advises early-stage and emerging technology companies on formation, financing, corporate governance, and strategic planning. His mergers and acquisitions experience includes asset and stock purchases, dispositions, mergers, consolidations, spin-offs, and asset divisions across industries such as software, telecommunications, manufacturing, chemicals, publishing, security systems, and consumer products. He also counsels nonprofit organizations on mergers and related corporate matters.

Thomas G. Buchanan serves on Buchanan Ingersoll & Rooney’s Board of Directors and previously served on the firm’s Executive Management Team. He has been listed in The Best Lawyers in America for Venture Capital Law since 2010, Corporate Law since 2013, and Mergers and Acquisitions Law since 2022. He was named Pittsburgh’s 2022 Venture Capital Law “Lawyer of the Year” and has appeared on City & State Pennsylvania’s Pittsburgh Power 100 list since 2022.
