Lauren S. Boehmke

Lauren S. Boehmke is a partner in Sullivan & Cromwell’s General Practice Group. She advises on public and private M&A, takeover defense, activism, board matters, and other public company issues. Her work spans consumer and retail, sports, media, entertainment, healthcare, technology, and power and utilities sectors and strategic advisory matters.

Lauren earned her J.D. from Harvard Law School in 2013. She also earned a B.A. from the University of Pennsylvania in 2007 and a B.S. from The Wharton School, University of Pennsylvania, in 2007. She is admitted to the New York Bar and advises on complex company transactions for clients.

Lauren was named a Law360 “Rising Star” and selected for Bloomberg Law’s 2022 “They’ve Got Next: The 40 Under 40.” The Hollywood Reporter also included her among “Hollywood’s Top Dealmakers of 2022: The 360-Degree Thinkers.” She received S&C’s inaugural Alexandra D. Korry Award for leadership and mentoring at the Firm.

Lauren has represented clients in major matters involving AMC Networks, AT&T, CONMED, Connecticut Water Service, Diageo, Kraft Foods Group, Madison Square Garden Entertainment, Masimo Corporation, New York Giants, NMG, Panera Bread Company, Recruit Holdings, Stemcentrx, and Teck Resources. These matters include mergers, spin-offs, investments, acquisitions, and special committee work transactions.

Lauren contributes to legal thought leadership through writing, speaking, and professional programs. She spoke on “The New Age of Corporate Governance” for PLI’s Hot Topics for In-House Counsel 2024 program. Her publications cover shareholder activism, director-nominee information rights, U.S. governance developments, and the role of M&A lawyers for legal audiences.

Lauren S. Boehmke is active in professional leadership at Sullivan & Cromwell. She is a member of S&C’s Women’s Initiative Committee, served on Law360’s 2023 Media & Entertainment Editorial Advisory Board, and recently co-chaired the corporate subcommittee of the New York City Bar Association Sports Law Committee in New York.
