Kimberley S. Drexler is a corporate attorney whose practice centers on securities regulation, corporate governance, and regulatory compliance. She advises public companies on a broad range of matters involving SEC disclosure requirements, financial reporting obligations, cybersecurity incident preparedness and response, internal controls, and auditor independence issues. Her work also includes counseling clients on securities law considerations connected to significant corporate transactions and governance matters.

Kimberley S. Drexler earned a B.A. from the University of Virginia in 1993, graduating with Highest Distinction as an Echols Scholar and member of Phi Beta Kappa. She later earned a J.D. from Yale Law School in 1997, where she served as a Coker Fellow and Managing Editor of the Yale Law & Policy Review. Following law school, she clerked for Hon. Victoria Lederberg of the Rhode Island Supreme Court. Admitted in New York, Kimberley continues to be a trusted advisor on complex securities, governance, and compliance matters.

Kimberley has developed substantial experience through service in both private practice and senior government positions. During her time with the U.S. Securities and Exchange Commission, she served in several important roles and worked on projects involving financial reporting, public company disclosures, capital formation, and evolving regulatory requirements. As Senior Advisor to the Director of the Division of Corporation Finance from 2006 to 2007, she contributed to matters involving executive compensation disclosure rules and implementation efforts related to Section 404 of the Sarbanes-Oxley Act of 2002. For this work, she received the Law & Policy Award, U.S. Securities and Exchange Commission, 2007.

Kimberley previously served as a Senior Counsel in the SEC’s Office of the General Counsel from 2000 to 2003. In that position, she worked on initiatives involving non-GAAP financial measures, technology developments affecting securities markets, auditor independence, and other financial reporting issues. Her contributions to the Commission’s auditor independence initiatives earned her the Chairman’s Award for Excellence, U.S. Securities and Exchange Commission, 2000.

Kimberley S. Drexler has remained active within the national securities law community. Her involvement has included leadership positions within the American Bar Association, including service with the Federal Regulation of Securities Committee and related committees. She is also a Fellow of the American Bar Foundation. Her work has been recognized by Chambers USA and Lawdragon for accomplishments in securities regulation, crisis management, cybersecurity law, and corporate transactions.
