Karl D. Chandler

Karl D. Chandler is counsel and a San Jose business and corporate attorney who advises clients across a broad range of industries. He works with technology startups, manufacturers, professionals, contractors, importers, and distributors. His practice includes mergers and acquisitions, private securities offerings, entity formation, corporate governance, contracts, intellectual property, nonprofit organizations, and taxation. He helps clients manage operational needs, structure transactions, and pursue important business objectives.

Chandler earned his J.D. from the University of California, Hastings College of the Law. He also received an M.S. in Tax from Golden Gate University and a B.A. from the University of California, Berkeley. His legal and tax education provides a strong foundation for evaluating transactions, organizational structures, securities matters, and business risks. He is admitted to practice in California.

Chandler has handled more than 140 merger and acquisition transactions. His representative experience includes a $15 million merger involving a printed circuit board design company, the $58 million sale of radio station assets, a $13 million semiconductor company merger, and a $32.5 million biotechnology and medical equipment transaction. He has also assisted a semiconductor manufacturer with acquiring exclusive manufacturing and marketing rights and represented issuers in numerous private securities placements.

Karl D. Chandler is a former chair of several Santa Clara County Bar Association committees, including its Business Law and Business Litigation Section Executive Committee. He received the association’s Byrl R. Salsman Award for contributions to the community and legal profession and holds an AV Preeminent peer review rating. Chandler has lectured on mergers and acquisitions and developments in corporate law. He also serves as a long-standing board member of Tri-City Volunteers, a food bank and mobile pantry serving Southern Alameda County.
