Wayne earned his B.S., Mechanical Engineering from University of Oklahoma in 1968. He earned his M.B.A. from University of Nevada in 1971. He earned his J.D., with highest honors, from University of Tulsa College of Law in 1975, where he served as Tulsa Law Journal Managing Editor.
Wayne also received the Judge W. Lee Johnson Award and the Martin, Fellows, Smith Cup during law school. His education gives him a strong base in engineering, business, and law. This mix supports his work with complex company structures, finance questions, energy projects, and transactions that require careful review.
Wayne began his legal career after serving as law clerk for the Honorable William J. Holloway, Jr., Circuit Judge of the United States Court of Appeals for the Tenth Circuit. He started practicing with his current organization in 1976 and formerly led the Corporate/Securities practice group.
Wayne is known for explaining business law topics in a clear and useful way. He has lectured on limited liability companies, corporate finance, and exemptions from registration. He also taught as an adjunct professor at the University of Tulsa College of Law, helping students understand practical legal concepts.
Wayne co-authored Business Organizations, Vernon’s Oklahoma Forms 2d, an Oklahoma-based resource used by lawyers and business professionals. His work with publications, teaching, and speaking shows his ability to turn technical legal rules into guidance that supports clients, students, and others dealing with business organization issues.
