About

Eric B. Sloan is a partner in Gibson Dunn’s New York and Washington, D.C. offices and Co-Chair of the firm’s Tax Practice Group. He advises financial and strategic investors on the tax aspects of domestic and cross-border mergers and acquisitions, financings, restructurings, partnerships, limited liability companies, and corporate transactions. His practice also includes spin-offs and initial public offerings, including numerous UP-C IPO structures.

Sloan earned an LL.M. from Georgetown University in 1994, a Juris Doctor from the University of Chicago in 1990, and a Bachelor of Arts from Northwestern University in 1987. His advanced tax education supports more than three decades of transactional and structuring work. That background helps him address technical tax rules while coordinating them with the commercial objectives of private equity firms, public companies, and other investors.

Sloan has substantial experience forming domestic and cross-border joint ventures and advising on acquisitions and dispositions of businesses and joint venture interests. He also handles partnership restructurings, private equity fund structuring, leveraged recapitalizations, and complex tax issues connected with large transactions. His practice includes obtaining private letter rulings and closing agreements from the Internal Revenue Service on novel or difficult tax questions.

Eric B. Sloan has been recognized by Chambers USA for tax work and by The Best Lawyers in America for Tax. His practice combines technical partnership tax knowledge with extensive transactional experience across private equity, M&A, financing, and capital markets matters. By integrating tax analysis with deal structure and business priorities, he helps clients evaluate alternatives, manage tax risk, and execute complex transactions in the United States and across borders.
