David R. Clark

David R. Clark is a Partner, Mergers and Acquisitions, based in Chicago. He concentrates on mergers and acquisitions, corporate governance, and corporate and securities matters. His work includes advising on negotiated and contested domestic and cross-border transactions. He guides companies and boards through key business decisions involving mergers, asset sales, spin-offs, and reorganizations.

David earned his B.A. from Ohio State University and his J.D. from Indiana University School of Law, Bloomington (summa cum laude; Order of the Coif; Managing Editor, Indiana Law Review). He is admitted in Illinois. He also served as a Law Clerk to Hon. James S. Gwin, U.S. District Court for the Northern District of Ohio.

David represents public and private companies, their boards, real estate investment trusts, and private equity firms. He works on a wide range of matters, including cross-border mergers, contested transactions, and complex reorganizations. He also advises issuers and underwriters in debt and equity securities offerings, helping them address legal and market challenges.

David has advised Spirit AeroSystems Holdings, Inc. in its pending $8.3 billion acquisition by The Boeing Company. He represented ALDI in its sale of Southeastern Grocers (Winn-Dixie and Harveys Supermarket) to a consortium of private investors. His experience also includes major assignments for CME Group, such as the sale of OSTTRA to investment funds managed by KKR at an enterprise value of $3.1 billion, a $1 billion equity investment by Google LLC, and a $6 billion acquisition of NEX Group plc.

David has worked with Ball Corporation on significant transactions, including the $5.6 billion sale of its aerospace business to BAE Systems and its $6.9 billion acquisition of Rexam PLC. His client list also includes AutoNation, R. R. Donnelley & Sons Company, Flagstar Bancorp, and Exact Sciences Corporation in large and complex deals.
