Bill Huo

Bill Huo is a shareholder in Becker & Poliakoff’s New York office and a member of its Corporate practice group. He advises domestic and international clients on securities transactions, corporate finance, mergers and acquisitions, and general corporate matters. His work includes public and private securities offerings, regulatory compliance, and transactions involving special purpose acquisition companies. He also handles corporate matters connected to cross-border business activity with China.

Huo earned LL.M. degrees from Cornell Law School, the University of Bristol Law School, and Renmin University of China Law School. He previously received a B.S. in Material Physics from the University of Science and Technology Beijing. His legal education across several jurisdictions and technical undergraduate studies complement a practice involving sophisticated financial instruments, securities rules, and international corporate transactions.

Huo regularly advises issuers and underwriters on initial and secondary public offerings, debt and equity placements, PIPE financings, shelf offerings, and equity line transactions. He has extensive experience with SPAC initial public offerings and initial business combinations. His work also includes reporting obligations under the Securities Exchange Act of 1934. Before joining Becker, he practiced at Kramer Levin and Ellenoff Grossman & Schole.

Huo is admitted to practice in New York, before the United States Patent and Trademark Office, and in China. His background supports advice on transactions that require coordination of financing, disclosure, business structure, and cross-border considerations. Bill Huo helps companies and market participants address corporate legal requirements while pursuing capital raising, combinations, and other business objectives in domestic and international markets.
