A. Thompson Bayliss

A. Thompson Bayliss is the managing partner of Abrams & Bayliss LLP and a Delaware commercial litigation and business lawyer. He has litigated high-stakes matters before Delaware courts for more than twenty years. He represents clients in disputes involving mergers, acquisitions, fiduciary duties, corporate governance, limited liability companies, and commercial agreements. His work includes trials, appeals, expedited proceedings, and cases involving significant transactions. He regularly appears in matters requiring detailed knowledge of Delaware business law.

Mr. Bayliss earned his B.A. in History from Yale University. He received his J.D. from the University of Virginia School of Law. He won the William Minor Lile Moot Court Competition while attending law school. He served as managing editor of the Virginia Tax Review. He gained admission to the Delaware bar. His additional admissions include federal district and appellate courts serving Delaware and the Third and Federal Circuits.

Mr. Bayliss has handled notable disputes involving BitGo, Texas Pacific Land Corporation, XRI Investment Holdings, Baker Hughes, Aerojet Rocketdyne, and Boardwalk Pipeline Partners. He helped revive BitGo’s challenge concerning the termination of a proposed $1.2 billion acquisition in 2024. He defended a trial victory involving a stockholder voting commitment for Texas Pacific Land Corporation. He has written extensively about stockholder voting, merger litigation, director exculpation, indemnification, special committees, and internal investigations. His publications have appeared in legal and corporate governance resources since at least 2010.

A. Thompson Bayliss brings extensive courtroom experience and focused knowledge of Delaware corporate law to complex business disputes. He received Benchmark Litigation recognition among America’s top 100 trial lawyers in 2022, 2023, and 2024. He has earned Chambers USA praise for his Court of Chancery and corporate governance litigation work. He has appeared in The Best Lawyers in America since 2013. He has been selected to Delaware Super Lawyers since 2016 after earlier Rising Stars recognition. His professional involvement includes membership in the Delaware State Bar Association.
